2020 SMITHSONIAN CRAFT SHOW BENEFIT AUCTION AUCTION RULES AND CONDITIONS OF SALE The art in the 2020 Smithsonian Craft Show Benefit Auction (“SCSBA”), made by artists who have been juried into the 2020 Smithsonian Craft Show or former shows (each an “Artist”), is offered and sold by the Smithsonian Women’s Committee (the “SWC”) pursuant to the following Auction Rules and Conditions of Sale. Anyone registering to bid or placing a bid (a “Bidder”) accepts the Auction Rules and Conditions of Sale. These Auction Rules and Conditions of Sale constitute the entire agreement between the SWC and Bidder. A portion of the proceeds from the SCSBA go to grants for the Smithsonian Institution’s nineteen museums and nine research facilities. The SWC has collaborated with the online bidding platform, Bidsquare, to market, promote and conduct the SCSBA. Additional terms and conditions of Bidsquare may apply to Bidder. The SCSBA is a live online auction. This means that bidders will be bidding against others participating simultaneously in the live auction on Bidsquare’s online platform. Bid numbers may be obtained online at the applicable auction bidding platform. Information including Bidder’s name, telephone number and address will be collected by Bidsquare in accordance with its terms and conditions. Bidder consents to Bidsquare sharing this information with the SWC and the SWC will use such information in accordance with the Smithsonian’s Privacy Statement as set forth at https://www.si.edu/privacy. Representations or Warranties All auction property is identified on the SCSBA landing page on the website www.bidsquare.com. Every effort has been made to describe the property correctly and accurately and the property will generally conform to the information provided. All auction property offered for sale is free and clear of all liens, claims and encumbrances. However, the SWC makes no other representations or warranties of any kind or nature, express or implied, regarding the correctness of the description, physical condition, quality or importance of the property or its fitness for any purpose. The Artist and Bidsquare retain the rights to photographs, catalogue text, illustrations and other intellectual property contained in any auction catalogue and on the websites related to the SCSBA. 2. Valuation Values for items in the SCSBA have been provided by the Artist and are estimates based on current retail prices. These values shall not be deemed a representation or warranty regarding the actual value of the property. All property is sold “as is”. 3. Withdrawal and Cancellation The SWC and Bidsquare reserve the right to withdraw a lot for any reason and with no liability for such withdrawal. The SWC reserves the right to cancel the SCSBA for any reason and with no liability for such cancellation. 4. Time and Duration of Auction The Auction begins at 8pm, Eastern Daylight Savings Time (EDT), October 21, 2020. The Auction ends at 11:59pm, EDT on October 21, 2020 after all objects have been sold or withdrawn. 5. Auction Results Bidsquare will notify the high Bidder of the preliminary results of the Auction. Final results will be available as soon as SWC and Bidsquare have audited and verified all sales. 6. Notification, Billing and Payment Upon the close of each lot in the SCSBA, the high Bidder becomes the buyer and owner of the property and is responsible for the amount of the successful bid, a 10% buyer’s premium, applicable taxes, insurance costs, shipping charges and any other charges provided for in the Auction Rules and Conditions of Sale and as provided by Bidsquare. Such amount shall be payable in U.S. Dollars. The SWC will send invoices to successful Bidders by email within two business days following the close of the SCSBA. The SWC will collect the applicable payment due pursuant to the terms of the invoice. All sales are final. No refunds will be given for any reason. 7. Collection of Property The works for sale in the SCSBA reside with the Artist until sold. After the sale and upon receipt and clearing of payment in full, the SWC will notify and connect the successful Bidder to the Artist. Shipping and insurance will be arranged directly between the successful Bidder and the Artist. Unless otherwise agreed to by the Artist, the successful Bidder shall be responsible for any shipping and insurance charges. 8. Successful Bidder Default If payment for any lot of property is not received in full within fifteen (15) days of SWC’s delivery of the invoice or if the SWC is unable to contact the winner within ten days after the close of the SCSBA , the SWC reserves the right to cancel the sale and contact the next highest Bidder. The property will be offered to this Bidder at their high bid. If the second Bidder accepts, they will be declared the winner by the SWC, who will supply Bidsquare with the new successful Bidder’s contact information so that an invoice may be created and issued by the SWC. The SWC has the sole and final discretion to determine the winner in the case of successful Bidder’s default.
